Project Acquisitions. There are no outstanding purchase price payments or purchase price adjustments (including earn-outs and similar post-closing adjustments) to be made to any Person with respect to any transaction by which Raven Holdings, the Operating Company, Jacob or any other Affiliate of Raven Holdings acquired any right or interest in, to or under the Operating Company, Jacob, the Business or any Operating Company Asset.
