Prohibited Events. The occurrence of any of the following events shall constitute a "Prohibited Event": (1) The Executive is not continuously a member of the Board of Directors and CEO and President of the Company during the Term; (2) The CEO is not the highest ranking officer of the Company with the power to appoint and remove all other employees of the Company; or (3) The retention of any senior executive officer by the Company, or an offer to pay compensation to any senior executive of the Company that in either case is unacceptable to the Executive, in his reasonable judgment.
