Common use of Program Pricing Clause in Contracts

Program Pricing. The Company will charge Distributor the list prices set forth on Exhibit A for Products, as may be amended by the Company in its sole discretion (the “List Price”). The Company will have the unilateral right to enact a List Price change at any time, by distributing a revised Exhibit A showing a different List Price for the Products, effective on a date specified by the Company. The List Price is exclusive of federal, state and local excise, sales, use and other taxes applied or imposed on the sale, shipment, delivery, ownership, possession or resale of Products or any other activities contemplated under this Agreement.
