Product Team. Upon Sunesis’ exercise of the Co-Funding Option, the Parties shall form a product team with respect to each Co-Funded Product that shall report to the JDC, comprised of Biogen Idec and Sunesis personnel that will implement the further development and regulatory affairs with respect to that Co-Funded Product (each a “Product Team”) in accordance with the Co-Development Plan and Budget. Product Team. 7.3.1 The day-to-day responsibilities of the Parties with respect to this AGREEMENT shall be overseen by the PRODUCT TEAM, which shall be responsible for deciding operational and scientific issues arising out of this AGREEMENT and unanimously agreeing in good faith with respect to the monitoring of the compliance with this AGREEMENT. 7.3.2 The PRODUCT TEAM shall consist of a team consisting of equal numbers of people, if feasible, each appointed by HORIZON and BI and notified to the other, which appointees may be changed from time to time by the appointing Party on written notice to the other Party. Each member of the PRODUCT TEAM shall be a person of appropriate skill and experience. Either Party may change its own designated PRODUCT TEAM members provided, however, that the total number of members of the PRODUCT TEAM may not be changed, if feasible, nor the number of members representing HORIZON decreased, without the Parties’ prior written agreement. HORIZON’s and BI’s respective functions of the PRODUCT TEAM as of the Effective Date are listed in Exhibit 8. 7.3.3 During the term of this AGREEMENT, the PRODUCT TEAM shall meet regularly to communicate updates and provide a forum for decision-making and rapid resolution of issues arising under this AGREEMENT. Meetings of the PRODUCT TEAM may be conducted by telephone conference, videoconference or face-to-face meetings as agreed by the PRODUCT TEAM. 7.3.4 Decisions of the PRODUCT TEAM shall be reflected in the approved minutes. Meeting minutes shall be prepared in alternate turns by the Parties by the respective PRODUCT MANAGERS of the relevant Party to record all issues discussed and decisions. Minutes that have not been objected to in writing by a Party within said […***…] of receipt thereof shall be deemed approved by such Party and followed by issuance of the minutes duly executed by the Parties’ PRODUCT MANAGER. 7.3.5 In the event that the PRODUCT TEAM is unable to reach agreement on any issue and is unable to make decisions arising out of operational and scientific issues within […***…], each PARTY may call in an expert of its own choice to render advice to the PRODUCT TEAM. Product Team. The Product Team shall consist of such number of Lilly and ICOS personnel as such parties reasonably deem necessary to carry out the Project Services in accordance with the Project Guidelines. One member of the Product Team shall be designated by ICOS and Lilly as the Product Team Leader. ICOS and Lilly will have reasonable access on an informal basis to the other's personnel assigned to the Product Team. The parties acknowledge that maintaining the continuity of certain functional members on the Product Team (including the Product Team Leader) is of key importance to the success of the Project and, therefore, ICOS and Lilly agree that each will, to the extent practicable, make good faith efforts to minimize changes to Product Team membership under circumstances where such continuity loss would likely have an adverse impact on the Project.

Product Team. The PT shall be responsible for (a) planning and implementing all Commercialization activities for the Product in the United States and (b) designing and implementing all post-Approval clinical and medical development activities for the Product, in each case subject to oversight of the SC.

PRODUCT ROADMAP 1. The Product Roadmap is set out in Exhibit 2 to this Schedule A. If the Product Roadmap is updated by the Product Manager in the Product Tracking Tool during the Agreement Term, then the updated Product Roadmap will supersede and replace the applicable then-existing Exhibit 2 in its entirety and be deemed to form part of this Agreement.

Product Team. The parties agree that operation of the Research Program will be managed by the Product Team, which will develop the Development Plan in accordance with Section 3.2. The Product Team will carry out the Development Plan as it deems necessary; provided, however, that the Partnership shall be the ultimate authority with respect to all matters and activities under this Agreement and, therefore, to the extent it deems appropriate, it may at any time accept, reject or modify any proposal of the Product Team for providing R & D Services as well as, without limitation, discontinue or modify the Research Program, disband or redirect the Product Team or terminate this Agreement.
