Common use of Proceedings brought by the Trustee Clause in Contracts

Proceedings brought by the Trustee. Subject to any mandatory provisions of law, at any time after the Notes of any Series shall have become immediately due and repayable, the Trustee may at its discretion and without further notice institute such proceedings as it may think fit against the Issuer to enforce the terms of this Trust Deed, the Notes, the Receipts and the Coupons, but shall not be bound to take any such proceedings unless (a) it shall have been so directed by an Extraordinary Resolution or so requested in writing by Noteholders holding at least one quarter in nominal amount of the Notes outstanding and (b) it shall have been indemnified and/or secured and/or prefunded to its satisfaction.
