PROCEDURES FOR NOTES ISSUED IN BOOK-ENTRY FORM. In connection with the qualification of Notes issued in book-entry form for eligibility in the book-entry system maintained by DTC, the Trustee will perform the custodial, document control and administrative functions described below, in accordance with its respective obligations under DTC’s operational arrangements referred to in the Letter of Representations from the Company to DTC, dated April 25, 2003, as made applicable to the Notes by a Bring-Down Letter of Representations from the Company and the Trustee to DTC, dated , 2009, and a Certificate Agreement, dated April 14, 1989, between the Trustee and DTC, as amended (the “Certificate Agreement”), and its obligations as a participant in DTC, including DTC’s Same-Day Funds Settlement System (“SDFS”).

PROCEDURES FOR NOTES ISSUED IN BOOK-ENTRY FORM. In connection with the qualification of Notes issued in book-entry form for eligibility in the book-entry system maintained by DTC, the Trustee will perform the custodial, document control and administrative functions described below, in accordance with its respective obligations under DTC’s operational arrangements referred to in the Letter of Representations from the Company to DTC, dated April 25, 2003, as made applicable to the Notes by a Bring-Down Letter of Representations from the Company and the Trustee to DTC, dated March 15, 20092006, and a Certificate Agreement, dated April 14November 13, 19892001, between the Trustee and DTC, as amended (the “Certificate Agreement”), and its obligations as a participant in DTC, including DTC’s Same-Day Funds Settlement System (“SDFS”).

In connection with the qualification of Notes issued in book-entry form for eligibility in the book-entry system maintained by DTC, the Trustee will perform the custodial, document control and administrative functions described below, in accordance with its respective obligations under DTC’s operational arrangements referred to in the a Letter of Representations from the Company to DTC, dated April 25, 2003, as made applicable to the Notes by a Bring-Down Letter of Representations from the Company Operating Partnership and the Trustee to DTC, dated May 13, 20091997, as confirmed by a letter dated June 8, 2001, and further confirmed by a letter dated January 7, 2004 and a Certificate Agreement, dated April 14May 26, 1989, between the Trustee and DTC, as amended (the “Certificate Agreement”), and its obligations as a participant in DTC, including DTC’s Same-Day Funds Settlement System (“SDFS”).
