Common use of Probity Clause in Contracts

Probity. 13.1 TLEC shall observe the Prevention of Bribery Ordinance (Cap. 201) (“PBO”). TLEC shall not, and shall procure that its directors, employees, agents, suppliers, contractors and other personnel who are in any way involved in the Services shall not, offer to or solicit or accept from any person any money, gifts or advantages (as defined in the PBO) in relation to the Services. 13.2 If TLEC and/or any of its directors, employees, agents, suppliers, contractors and other personnel who are in any way involved in the Services commit any offence under the PBO in relation to this Services, Uptrend shall be entitled to terminate this Contract and shall hold TLEC liable for any loss or damages Uptrend may thereby sustain.
