Primary activities. For library faculty, performance or activities as listed in the job description and expressed in the annual Library Faculty Assigned Activities form constitutes 80% of the assigned duties for library faculty. Demonstration of job performance will differ according to the area of responsibility within the Library and the particular circumstances of each library faculty member.

Primary activities. The Superintendent shall possess the following powers and be charged with the following duties:
Primary activities. Up to 30 sites (xxxxx, springs, recharge sites, and cave streams) will be sampled across the confined, transition, and recharge zones of the BSEA. Final site selections will be dependent on access and permissions, but we are working to secure these now. I (Xxxxxxxx) have spoken with staff at the BSEACD before submission of the proposal, and more recently, and have confirmed that the District will collaborate with us and provide access to xxxxx they own, and/or to provide contact information for landowners with whom they have existing good relationships. We plan to monitor several locations in the Xxxxxx Springs Complex using drift nets that will be checked frequently. Exactly which locations will be monitored will be determined based on conversations with City of Austin staff, but we anticipate 3-5 sites that include some or all of the following spring openings: Main, Eliza, Sunken Garden, and Upper Xxxxxx. We plan to divide the remaining ~25 sites approximately equally between 1) xxxxx in the recharge zone that have produced groundwater invertebrates in the past (i.e., Xxxxxxx Water Quality Well, Zara Headquarters Well, etc.), 2) xxxxx in the deep freshwater confined zone (these may be harder to access and/or sample, but we have accessed some of these in the past, such as the Xxxx Transect xxxxx, for geochemical and isotopic samples), 3) xxxxx at or near the fresh- saline water interface, but without dissolved oxygen (BSEACD staff have told us that there are several sites that may be suitable and accessible for these samples, which would be for geochemistry, water and sulfur isotopes, POM, and bacteria sampling only, as sites without DO (and with H2S) do not harbor eukaryotes), 4) drift- and hand-sampling in cave streams in the recharge zone (i.e., Blowing Sink Cave) where cave invertebrates are known to occur, and 5) water and POM samples collected in streams crossing the recharge zone where they enter the aquifer (numerous direct recharge sites along Barton, Williamson, Xxxxxxxxx, Bear, Little Bear, and Onion Creeks where access is controlled by CoA or BSEACD). Finally, we will coordinate with the BSEACD to collect samples from targeted depths (in the Xxxxxxx or Upper Trinity aquifer strata) at their XxxxXxx Multi-Port xxxxx whenever it is possible, though those samples would only be for various analyses of POM and dissolved constituents (not invertebrate sampling).   • Regulatory Activities Beginning on the Effective Date and to the extent UGNX remains the Lead Development Party with respect to a particular territory, subject to and in accordance with the terms and conditions of this Agreement and the requirements of Applicable Laws, UGNX, shall: (a) use Commercially Reasonable Efforts to file (or have filed) all Regulatory Filings with respect to the Licensed Products in the Field in order to obtain Marketing Approvals in each country in the Territory and the European Territory (or to obtain the European Centralized Approval in the European Core Territory) and in order to obtain Pricing and/or Reimbursement Approvals in the Profit Share Territory; (b) respond in a timely fashion to requests for data and information from Regulatory Authorities with respect to the Licensed Products in the Field in the Territory and the European Territory; and (c) meet with officials of the Regulatory Authorities at such times as may be requested by such Regulatory Authorities with respect to the Core Development Activities (“Regulatory Activities”), provided that KHK will have primary responsibility for obtaining, and UGNX shall provide all assistance reasonably requested by KHK, in relation to Pricing and/or Reimbursement Approvals for the Licensed Products in the Field in the European Territory. For the avoidance of doubt, UGNX will be responsible for obtaining, and KHK will provide all assistance reasonably requested by UGNX, in relation to Pricing and/or Reimbursement Approvals, if any, for the Licensed Products in the Field in the Profit Share Territory as part of the UGNX Core Development Activities, it being understood that the costs incurred by UGNX in connection with such activities will be shared equally (50/50). All such Regulatory Activities will be conducted in a manner consistent with the Core Development Plan and coordinated by the JSC in accordance with Article 3. Without limiting the applicability of the foregoing and the remainder of this Article 5, UGNX shall interface with the applicable Regulatory Authority(ies) and, through the JDC, shall keep KHK reasonably informed of all material events and developments occurring in the course of the Regulatory Activities, including scheduled UGNX regulatory strategy discussions and meetings with Regulatory Authorities in the Territory and the European Territory relating to the Licensed Products in the Field.

  • Outside Activities Subject to the Articles of Incorporation and any agreements entered into by the General Partner or its Affiliates with the Partnership or a Subsidiary, any officer, director, employee, agent, trustee, Affiliate or stockholder of the General Partner shall be entitled to and may have business interests and engage in business activities in addition to those relating to the Partnership, including business interests and activities substantially similar or identical to those of the Partnership. Neither the Partnership nor any of the Limited Partners shall have any rights by virtue of this Agreement in any such business ventures, interest or activities. None of the Limited Partners nor any other Person shall have any rights by virtue of this Agreement or the partnership relationship established hereby in any such business ventures, interests or activities, and the General Partner shall have no obligation pursuant to this Agreement to offer any interest in any such business ventures, interests and activities to the Partnership or any Limited Partner, even if such opportunity is of a character which, if presented to the Partnership or any Limited Partner, could be taken by such Person.

  • Marketing Activities The Borrower will not, and will not permit any of its Subsidiaries to, engage in marketing activities for any Hydrocarbons or enter into any contracts related thereto other than (i) contracts for the sale of Hydrocarbons scheduled or reasonably estimated to be produced from their proved Oil and Gas Properties during the period of such contract, (ii) contracts for the sale of Hydrocarbons scheduled or reasonably estimated to be produced from proved Oil and Gas Properties of third parties during the period of such contract associated with the Oil and Gas Properties of the Borrower and its Subsidiaries that the Borrower or one of its Subsidiaries has the right to market pursuant to joint operating agreements, unitization agreements or other similar contracts that are usual and customary in the oil and gas business and (iii) other contracts for the purchase and/or sale of Hydrocarbons of third parties (A) which have generally offsetting provisions (i.e. corresponding pricing mechanics, delivery dates and points and volumes) such that no “position” is taken and (B) for which appropriate credit support has been taken to alleviate the material credit risks of the counterparty thereto.

The Software is not fault-tolerant and is not designed, manufactured or intended for use or resale as on-line control equipment in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the Software could lead directly to death, personal injury, or severe physical or environmental damage ("High Risk Activities"). Syncro and its suppliers specifically disclaim any express or implied warranty of fitness for High Risk Activities.

The installation referred to in item “c” includes, but is not limited to, offshore platforms, pipelines, Oil and Gas Treatment plants, equipment and facilities for measurement of the inspected Production, wellhead equipment, production pipes, flow lines, tanks, and other facilities exclusively intended for extraction, as well as oil and gas pipelines for Production Outflow and their respective compressor and pumping stations.
