PREVALENCE OF AGREEMENT. In the event of any inconsistency or conflict between the provisions of this Agreement and the provisions of the Constitution, the provisions of this Agreement shall as between the Shareholders prevail and the Company shall, and the Shareholders shall procure that the Company shall, make such necessary alterations to the Constitution to the extent necessary to permit the Company and its affairs to be regulated as provided in this Agreement and as are required to remove such conflict.
