Common use of Prepayment Certificate Clause in Contracts

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.13(a) through 2.13(d), Company shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow as the case may be. In the event that Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Company shall promptly make an additional prepayment of the Loans and Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Term Loans pursuant to Sections 2.13(a) through 2.13(dSection 2.10(b), Company the Borrower shall deliver to the Administrative Agent a certificate of an Authorized a Responsible Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow as the case may beproceeds. In the event that Company the Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Company the Borrower shall promptly make an additional prepayment of the Term Loans in an amount equal to such excess, and Company the Borrower shall concurrently therewith deliver to the Administrative Agent a certificate of an Authorized a Responsible Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with Not less than one (1) Business Day prior to the date of any prepayment of the Loans pursuant to Sections 2.13(a2.14(a) through 2.13(d)2.14(d) , Company shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow as the case may beproceeds. In the event that Company Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Company Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Company Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Company Borrowers shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Company Borrowers shall promptly make an additional prepayment of the Loans Loans, and Company shall concurrently therewith deliver to Administrative Agent Agents a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Company shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.
