Preparation of ADS Rights Certificates. a. The Agent will cause to be prepared, for issuance to registered holders of ADSs of record as of the Record Date, ADS Rights Certificates substantially in the form attached hereto as Exhibit A (the “ADS Rights Certificates”). The Company authorizes the Agent to cause to be prepared ADS Rights Certificates as soon as practicable after the Record Date and to cause to be destroyed any such ADS Rights Certificates that are not issued as a result of the initial issuance of ADS Rights and any transfer or assignment of all or a portion of the ADS Rights in respect of which any such ADS Rights Certificates were prepared.
