Common use of Power; Authorization Clause in Contracts

Power; Authorization. Purchaser has all requisite legal power and authority to enter into and perform this Agreement in accordance with its terms. The execution and delivery of this Agreement and the transactions contemplated hereby have been validly and duly authorized by all necessary corporate action on the part of Purchaser and no further authorization or approval, whether from directors or shareholders of Purchaser or governmental bodies or otherwise, is necessary to enable Purchaser to enter into and perform the same; and this Agreement, when executed and delivered, shall constitute the legal and binding obligation of Purchaser, enforceable against Purchaser in accordance with its terms.
