Common use of Power, Authority; Valid Agreement Clause in Contracts

Power, Authority; Valid Agreement. (i) You have all requisite power and authority to execute, deliver and perform your obligations under this Agreement and the Company Agreement and to subscribe for and purchase or otherwise acquire your Interests; (ii) your execution of this Agreement and the Company Agreement has been authorized by all necessary corporate or other action on your behalf; and (iii) this Agreement and the Company Agreement are each valid, binding and enforceable against you in accordance with their respective terms.

(i) You have all requisite power and authority to execute, deliver and perform your obligations under this Agreement and the Limited Liability Company Agreement and to subscribe for and purchase or otherwise acquire your Intereststhe Units; (ii) your execution of this Agreement and the Limited Liability Company Agreement has been authorized by all necessary corporate or other action on your behalf; and (iii) this Agreement and the Limited Liability Company Agreement are each valid, binding and enforceable against you in accordance with their respective terms.
