Common use of Power and Authority; Due Authorization, Execution and Delivery Clause in Contracts

Power and Authority; Due Authorization, Execution and Delivery. The Seller (i) has all necessary corporate power, authority and legal right to (a) execute and deliver this Agreement and (b) carry out the terms of this Agreement and (ii) has duly authorized by all necessary corporate action the execution, delivery and performance of this Agreement and the sale and assignment of an ownership interest in each Collateral Obligation on the terms and conditions herein provided. This Agreement has been duly executed and delivered by the Seller.

This Agreement has documents required pursuant hereto have been duly executed and delivered authorized by the SellerPurchaser by all necessary limited liability company action.

This Agreement has and each Loan Assignment have been duly executed and delivered by the Seller.

This Agreement has been duly executed and delivered by the Seller.

This Agreement and each other Transaction Document has been duly executed and delivered by the Seller.
