Postponement of Annual Meeting. The Company shall as soon as possible indefinitely postpone its 1999 annual meeting of stockholders, and shall take no action unless compelled by legal process to reschedule such annual meeting or to call a special meeting of stockholders of the Company except in accordance with this Agreement unless and until this Agreement has been terminated in accordance with its terms.
