Post-Closing Survival of Representations, Warranties and Covenants of the Company. The representations and warranties made by the Company in this Agreement or any related certificate will survive the Closing only to the extent necessary to allow Purchaser to exercise its rights under Section 1.4 and Section 1.5, and all liabilities of the Company and all remedies exercisable by Purchaser with respect to such representations and warranties will be as expressly provided in Section 1.4. The covenants of the Company to Purchaser in this Agreement will terminate at the Closing, and all liabilities of the Company and all remedies exercisable by Purchaser with respect to such covenants will terminate at the Closing except as otherwise expressly provided in Section 1.4.
