The Port Pricing clause establishes the method and basis for determining the charges associated with the use of port facilities and services. It typically outlines how fees are calculated, which may include factors such as vessel size, duration of stay, or specific services rendered like loading, unloading, or storage. By clearly defining the pricing structure, this clause ensures transparency and predictability in port-related costs, helping both parties avoid disputes and budget effectively.
PORT PRICING. Commencing with the Amendment No. 3 Effective Date, and notwithstanding anything to the contrary in the Agreement, the following language will replace Section 4.1(i) in its entirety:
PORT PRICING. Section 4.1 of the Agreement is modified to delete the pricing therein associated with Dial-up Access port [****] charges during 2007 for all hours ‘above [****] of monthly traffic’ and replace with a new rate of [****].
PORT PRICING. The text set forth in Section 4.1 (entitled “Port Pricing; Invoicing”) of the Agreement is hereby deleted in its entirety and replaced as follows:
PORT PRICING. All charges relating to the Services in the Initial Service Areas are set forth in Exhibit D - Pricing for Additional Service Areas will be agreed by the parties following AOL's request to Vendor to provide Services in such areas.
PORT PRICING. Customer shall pay C&W USA the rates per port as set forth below:
a. $[*] per port effective during the period starting on the date C&W USA first makes available the Service for registration by Customer's End Users ("Service Start Date") and ending on the date which is the earlier of either (1) the ninetieth (90th) day after the Service Start date, or (2) the date C&W USA implements the disconnect server.
b. $[*] per port effective at the end of the period defined in Section (i) a. above. It is acknowledged that the Customer shall be providing its own customer service, billing and fulfillment to its End Users. Therefore, the above rate applies only to internet network access and does not include any C&W USA-provided customer service, billing or fulfillment to End Users. Further, it is understood that C&W USA is only selling wholesale dial internet service originating in the U.S. Therefore, the above rates apply only to such services.
