Buyer and Seller shall have received a letter from Coopers & Xxxxxxx LLP, addressed to Buyer regarding its concurrence with Buyer' management conclusions, as to the appropriateness of the pooling of interests accounting, under Accounting Principles Board Opinion No. 16 for the Merger, as contemplated to be effected as of the date of the letter, it being agreed that Buyer and Seller shall each provide reasonable cooperation to Coopers & Xxxxxxx LLP to enable them to issue such a letter.
