PLAN OPERATIONS. Key hereby represents and warrants that:

PLAN OPERATIONS. This Contract may be used to fund all or part of the Plan’s obligations. The provisions of the Plan control the operation of the Plan and the provisions of this Contract control the operation of this Contract. TALIC is not a party to the Plan [and reserves the right to disregard any amendment to the Plan after the Contract Date or any successor Plan which would have an adverse financial effect on TALIC, which enlarges or expands TALIC’s obligations or duties under this Contract or which decreases TALIC’s rights under this Contract.] The Contractholder shall ensure that the Plan operates in compliance with all applicable laws and regulations, including [Section 403(b)] of the Code [and ERISA].
