Plan as Controlling. The Restricted Shares are granted pursuant to, and this Agreement shall be interpreted in a manner consistent with, the Plan. Any provision of this Agreement that is inconsistent or in conflict with any provision of the Plan shall be deemed to be superseded and governed by the provision of the Plan. All terms and conditions of the Plan applicable to the Restricted Shares which are not set forth in this Agreement shall be deemed to be incorporated herein by this reference. Grantee acknowledges that he has received a copy of the Plan prior to executing this Agreement.
