Plan as Controlling. All terms and conditions of the PLAN, as it may be amended from time to time, applicable to Restricted Stock granted thereunder shall be deemed incorporated herein by reference. A copy of the PLAN as in effect on the date of this Agreement is attached hereto as Annex A. In the event that any provision in this Agreement conflicts with any term in the PLAN, the term in the PLAN shall be deemed controlling.
