Plan and Design. The Authority is responsible for preparing a plan and design for the HST system, conducting environmental studies and obtaining necessary permits, and undertaking the construction and operation of a high-speed train passenger network in California. Included in the Authority's work is planning for HST service between Sacramento and Merced. Additionally, the Authority is working with SJRRC to improve the current ACE service which will serve as a feeder to the statewide HST system. The Authority will be acting as a lead agency in preparing project level environmental impact reports/environmental impact statements ("EIRs/▇▇▇▇") for high-speed train service in the Sacramento to Merced portion of the Region. The SJRRC will be acting as a lead agency in preparing EIRs/▇▇▇▇ for Regional Service improvements in the Altamont Corridor and to connect the ACE service to downtown Merced.

Plan and Design. (a) Recognizing the importance of the Developer’s commitment in the RFP Response to construct the Developer Improvements therein described,, the the Developer agrees to deliver copies of the Developer’s preliminary design plans and drawings for the Project (the “Design Documents”) prior to commencement of the Project, and provided there shall be no significant increase in cost attributable thereto, to make reasonable efforts to incorporate the City’s suggestions in the final Design Documents. It is agreed and understood that the Developer shall be the ultimate decision maker in connection with any and all design considerations, provided that all such decisions made by the Developer concerning the design of the Developer Improvements shall result in the Project, being constructed and completed in accordance with all of the requirements set forth in this Agreement. (b) Without prejudice to the generality of Section 4.2(a) above, it is agreed and understood between the Developer and the City that all residential units within the Project shall meet or exceed the CHFA Multi-Family Housing Design, Construction and Sustainability Standards (the “CHFA Standards”).

  • Creation and Designation There is hereby created a Tranche of Class A Notes to be issued pursuant to this Terms Document, the Indenture and the Indenture Supplement to be known as the “DiscoverSeries Class A( - ) Notes.”

  • Domain and Designation The Top-­‐Level Domain to which this Agreement applies is .komatsu (the “TLD”). Upon the Effective Date and until the earlier of the expiration of the Term (as defined in Section 4.1) or the termination of this Agreement pursuant to Article 4, ICANN designates Registry Operator as the registry operator for the TLD, subject to the requirements and necessary approvals for delegation of the TLD and entry into the root-­‐zone.

  • Establishment and Designation of Shares The Series and classes of Shares existing as of the date of this Declaration of Trust are those Series and classes that have been established under the Prior Declaration of Trust and not heretofore terminated which are indicated on Schedule A attached hereto and made a part hereof ("Schedule A"). The establishment of any additional Series (or class) of Shares shall be effective upon the adoption by the Trustees of a resolution that sets forth the designation of, or otherwise identifies, such Series (or class), whether directly in such resolution or by reference to, or approval of, another document that sets forth the designation of, or otherwise identifies, such Series (or class) including any registration statement of the Trust or such Series (or class), any amendment and/or restatement of this Declaration of Trust and/or Schedule A or as otherwise provided in such resolution. Upon the establishment of any additional Series (or class) of Shares or the termination of any existing Series (or class) of Shares, Schedule A shall be amended to reflect the addition or termination of such Series (or class) and any officer of the Trust is hereby authorized to make such amendment; provided that amendment of Schedule A shall not be a condition precedent to the establishment or termination of any Series (or class) in accordance with this Declaration of Trust. The relative rights and preferences of the Shares of the Trust and each Series and each class thereof shall be as set forth herein and as set forth in any registration statement relating thereto, unless otherwise provided in the resolution establishing such Series or class. Shares of each Series (or class) established pursuant to this Section 6, unless otherwise provided in the resolution establishing such Series (or class) or in any registration statement relating thereto, shall have the following relative rights and preferences:

  • Authorization and Description of Shares The Shares to be --------------------------------------- purchased by the Underwriter from the Fund have been duly authorized for issuance and sale to the Underwriter pursuant to this Agreement, and, when issued and delivered by the Fund pursuant to this Agreement against payment of the consideration set forth in this Agreement will be validly issued, fully paid and non-assessable; the Shares conform to all statements relating thereto contained in the Prospectus and such description conforms to the rights set forth in the instruments defining the same; no holder of the Shares will be subject to personal liability by reason of being such a holder; and the issuance of the Shares is not subject to the preemptive or other similar rights of any securityholder of the Fund.

  • Implementation and Review The Parties shall consult annually, or as otherwise agreed, to review the implementation of this Chapter and consider other matters of mutual interest affecting trade in services. (10) 10 Such consultations will be addressed under Article 170 (Free Trade Commission) of Chapter 14 (Administration of the Agreement).
