Common use of Placement Fee Clause in Contracts

Placement Fee. The amount of compensation to be paid by the Company to the Designated Agent with respect to each Placement for which such Agent acted as the Designated Agent under this Agreement shall be equal to 3.0% of the gross proceeds from such Placement (the "Placement Fee"), which amount shall be paid in the same currency as the sale of the Placement Shares it pertains to.

The amount of compensation to be paid by the Company Corporation to the Designated Agent Agents with respect to each Placement for which such Agent acted as the Designated Agent under this Agreement shall be equal to 3.0up to 2% of the gross proceeds from such Placement (the "“Placement Fee")”) as set out in the Placement Notice, which amount shall be paid in the same currency as the sale of the Placement Shares it pertains to.
