Common use of Place and Time of Closing Clause in Contracts

Place and Time of Closing. The consummation of the transactions contemplated by this Agreement, as set forth in Section 4.4 below (the “Closing”), shall take place at the offices of Hengeler Xxxxxxx in Düsseldorf at 10 a.m. on the last Business Day of the month in which all conditions to Closing set forth in Section 4.2 (a), (b) and (c) below are met, in no event, however, prior to December 30/31, 2004, or at any other time or place as the Parties may mutually agree. The date on which the Closing is completed is referred to herein as the “Closing Date”.

Place and Time of Closing. The date on which Closing is to occur in accordance with the preceding sentence is referred to herein as the “Scheduled Closing Date”. The date on which the Closing is actually completed is referred to herein as the “Closing Date”.
