Common use of Persefoni Indemnification Clause in Contracts

Persefoni Indemnification. Subject to Section 8(b), ▇▇▇▇▇▇▇▇▇ will defend Customer against any claim, suit or proceeding brought by a third party (“Claims”) alleging that Customer’s Use of the Subscription Services infringes or misappropriates such third party’s Intellectual Property Rights and will indemnify and hold harmless Customer against any damages and costs awarded against Customer or agreed in settlement by ▇▇▇▇▇▇▇▇▇ (including reasonable attorneys’ fees) resulting from such Claim.
