Common use of PERMITS, FRANCHISES Clause in Contracts

PERMITS, FRANCHISES. The Borrower and each Subsidiary possesses, and will hereafter possess, all permits, consents, approvals, franchises and licenses required and rights to all trademarks, trade names, patents, and fictitious names, if any, necessary to or used in the course of business granted to it and enable it to conduct the business in which it is now engaged in compliance with Applicable Law, without known conflict with any trademark, trade names, patents or other proprietary right of any Person where the failure to possess such asset could reasonably be expected to have a Material Adverse Effect.

PERMITS, FRANCHISES. The Borrower and each Subsidiary possessespossess, and will hereafter possess, all permits, consents, approvalsPermits, franchises and licenses required and rights to all trademarks, trade names, patents, and fictitious names, if any, necessary to or used conduct its business substantially as now conducted in the course of business granted to it and enable it to conduct the business in which it is now engaged in material compliance with Applicable Lawapplicable laws, without known conflict with any trademark, trade names, patents or other proprietary right of any Person where except those that the failure to so possess such asset could not reasonably be expected to have a Material Adverse Effect, and neither Borrower nor any Subsidiary is in violation of any valid rights of others with respect to any of the foregoing except violations that could not reasonably be expected to have a Material Adverse Effect.
