Permissible Services. The Consultant’s services will include advising the Company’s Board of Directors and senior management on the following matters: in-licensing and out-licensing technologies and compounds; capitalization and corporate organization of the Company; structure and pricing of offerings of the Company’s securities in public and private transactions; alternative uses of corporate assets; structure and use of debt; application and maintenance of listing of the Company’s stock in securities exchanges and other appropriate markets; strategic planning management recruitment and compensation; and presentations to institutional and professional individual investors in the U.S. and Europe.
