Common use of Periodic Certification Clause in Contracts

Periodic Certification. Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year pursuant to Section 6.01(a) of the Credit Agreement, each Grantor shall deliver, or cause to be delivered, to the Administrative Agent a certificate executed by a Financial Officer of such Grantor confirming that there has been no change in the information contained in the Perfection Certificate since the date of the Perfection Certificate delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section 4.02 or, if any such change has occurred, specifying such revised information.

Each year, at the time of delivery of annual financial statements with respect to the preceding Fiscal Year fiscal year pursuant to Section 6.01(a) 5.1 of the Credit Agreement, each Grantor shall deliver, or cause to be delivered, to the Administrative Collateral Agent a certificate executed by a Financial Officer of such Grantor confirming that there has been no change in the information contained in the Perfection Certificate since the date of the Perfection Certificate delivered on the Closing Date or the date of the most recent certificate delivered pursuant to this Section 4.02 4.2 or, if any such change has occurred, occurred specifying such revised information.
