Common use of Performance of Material Contracts Clause in Contracts

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, all the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such Material Contract in full force and effect, enforce each such Material Contract in accordance with its terms, and shall not, and cause each of its Subsidiaries not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to have a Material Adverse Effect.

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, observe all the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such Material Contract in full force and effect, enforce each such Material Contract in accordance with its terms, and shall nottake all such action to such end as may be from time to time requested by the Administrative Agent, and cause each of its Subsidiaries to do so, except, in any case, where the failure to do so, either individually or in the aggregate, could not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected likely to have a Material Adverse Effect.

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, all of the material terms and provisions of each Material Contract to be performed or observed by it, maintain maintain, and cause each of its Subsidiaries to maintain, each such Material Contract in full force and effect, enforce and enforce, and cause each of its Subsidiaries to enforce, each such Material Contract in accordance with its terms, and shall not, and cause each of its Subsidiaries not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to have a Material Adverse Effect.

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, observe all the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such Material Contract in full force and effect, enforce each such Material Contract in accordance with its terms, take all such action to such end as may be from time to time requested by the Administrative Agent and, upon request of the Administrative Agent, make to each other party to each such Material Contract such demands and shall notrequests for information and reports or for action as any Loan Party or any of its Subsidiaries is entitled to make under such Material Contract, and cause each of its Subsidiaries not to, to do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to have a Material Adverse Effectso.

Perform and observe, and cause each of its Subsidiaries to perform and observe, observe all the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such not voluntarily terminate any Material Contract in full force and effectContract, enforce each such Material Contract in accordance with its terms, and shall not, terms and cause each of its Subsidiaries to do so except, in any case, where the failure to do so, either individually or in the aggregate, would not tohave, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could not reasonably be expected to have have, a Material Adverse Effect.

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, all of the material terms and provisions of each Material Contract to be performed or observed by it, maintain maintain, and cause each of its Subsidiaries to maintain, each such Material Contract in full force and effect, enforce and enforce, and cause each of its Subsidiaries to enforce, each such Material Contract in accordance with its terms, and shall not, and cause each of its Subsidiaries except where the failure to do so would not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected likely to have a Material Adverse EffectEffect and except where its failure to do so is being contested in good faith and by proper proceedings.

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, all the material terms and provisions of each Material Contract to be performed or observed by it, maintain maintain, and cause each of its Subsidiaries to maintain, each such Material Contract in full force and effect, enforce and enforce, and cause each of its Subsidiaries to enforce, each such Material Contract in accordance with its terms. Notwithstanding the foregoing, and this Section 5.01(l) shall not, and cause each only apply if the Borrower’s or any of its Subsidiaries not to, do Subsidiary’s action or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to inaction would have a Material Adverse Effect.

Performance of Material Contracts. Performance of Material Contracts. Perform and observeDo the following, and cause each of its the Subsidiaries to do the following: (a) perform and observe, observe all the material terms and provisions of each Material Contract to be performed or observed by it, ; and (b) maintain each such Material Contract in full force and effect, enforce each such Material Contract in accordance with its terms, and shall notexcept, and cause each of its Subsidiaries in either case, where the failure to do so, either individually or in the aggregate, could not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected likely to have a Material Adverse Effect.

Performance of Material Contracts. Perform and observe, observe and cause each of its the Material Subsidiaries to perform and observe, in all material respects, the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such Material Contract in full force it and effect, enforce each such Material Contract in accordance with its terms, and shall not, and cause each of its Subsidiaries not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to have a Material Adverse Effect.

Performance of Material Contracts. Perform and observe, and cause each of its Subsidiaries to perform and observe, all the material terms and provisions of each Material Contract to be performed or observed by it, maintain maintain, and cause each of its Subsidiaries to maintain, each such Material Contract in full force and effect, enforce and enforce, and cause each of its Subsidiaries to enforce, each such Material Contract in accordance with its terms. Notwithstanding the foregoing, and this Section 5.01(1) shall not, and cause each only apply if the Borrower’s or any of its Subsidiaries not to, do Subsidiary’s action or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to inaction would have a Material Adverse Effect.

Performance of Material Contracts. Perform Each Note Party shall perform and observe, and shall cause each of its Subsidiaries to perform and observe, all the material terms and provisions of each Material Contract to be performed or observed by it, maintain each such Material Contract in full force and effect, enforce each such Material Contract in accordance with its terms, and shall not, and cause each of its Subsidiaries not to, do or knowingly permit to be done anything to impair materially the value of any of the Material Contracts, to the extent the same could reasonably be expected to have a Material Adverse Effect.
