Common use of Payment of Receivables Purchase Price Clause in Contracts

Payment of Receivables Purchase Price. In consideration of the sale of the Receivables from the RPA Seller to the Purchaser as provided in Section 2.01, on the Closing Date the Purchaser agrees to pay the RPA Seller an amount equal to the Receivables Purchase Price. The Receivables Purchase Price shall be paid in the form of (i) $943,921,853.67, the net cash proceeds from the public offering by the Purchaser of the Notes and (ii) $81,727,026.94, being deemed paid and returned to the Purchaser as a capital contribution.
