Payment Direction. Vertex shall sign and deliver to the Purchaser a copy of the irrevocable direction to ▇▇▇▇▇▇▇ to pay the Milestone Payment evidenced by the Purchased Interest directly to the Purchaser Account in the form set forth in Exhibit C (the “Payment Direction”).
