Participating Facility. During a Disaster, only the authorized administrator (or designee) or Command Center at each Participating Facility has the authority to request or offer assistance through the LTC-MAP. The LTC-MAP is activated by notifying the RHCC and appropriate response agencies via regional activation protocols.

Participating Facility. Only those Eligible Facilities designated by Seller through receipt of a completed Notice to Add Participating Facility (the form of which is attached hereto as Appendix A, and which may be amended from time to time upon the mutual consent of the Parties) shall be deemed a Participating Facility. Such Notice shall be provided thirty (30) calendar days prior to Seller entering such Participating Facility into the Program. Notwithstanding the foregoing, in accordance with Section 7.2, during Program Years ***, in the event a Participating Facility does not already have an AMI meter installed at its Facility, Seller shall provide APS with *** written Notice prior to Seller entering such Participating Facility into the Program. ***. With each submission of a Notice to Add Participating Facility, Seller shall provide a written authorization executed by the customer, the form of which is attached as Appendix O (as may be amended from time to time by APS in its sole discretion), that will allow APS to release such Participating Facility’s customer-specific information to Seller, including but not limited to billing and metered data. Such written authorization shall be provided to APS before any customer-specific information related to the Eligible Facility is released to Seller. APS shall provide such information as soon as reasonably practicable after its receipt of the written authorization referenced herein, which it expects will be within ten (10) Business Days thereafter. In the event Seller removes a Participating Facility, then Seller shall deliver to APS no more than *** days following such removal a completed Notice to Remove Participating Facility (the form of which is attached hereto as Appendix C, and which may be amended from time to time upon the mutual consent of the Parties). ***.

  • Generating Facility The Interconnection Customer’s device for the production of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”. At any time, the aggregate principal amount of Shelf Notes stated in Section 1.2, minus the aggregate principal amount of Shelf Notes purchased and sold pursuant to this Agreement prior to such time, minus the aggregate principal amount of Accepted Notes (as hereinafter defined) which have not yet been purchased and sold hereunder prior to such time, is herein called the “Available Facility Amount” at such time.   • Alternate Facilities If under Purchaser’s Operating Schedule, roads needed for the removal of Included Timber differ substantially from Specified Roads, other roads may be added to A7. Contracting Officer shall assure that road routing, location, design, and needed easements will make such other roads acceptable as parts of the National Forest transportation facilities. Purchaser shall provide survey, design, and construction staking for such other roads. Based on design quantities from such engineering, Forest Service shall estimate Specified Road construction costs of alternate facilities, using methods consistent with those used in the original computation of the Schedule of Items. If Specified Road construction costs for acceptable alternate facilities are less than the estimated costs of facilities listed in the original Schedule of Items that Purchaser does not construct, Timber Sale Account shall be adjusted by Forest Service to reflect the reduction in costs. In event of rate redetermination under B3.3, such allowed costs shall be the redetermined estimated costs of facilities listed in the original Schedule of Items that Purchaser does not construct.

  • Existing Facilities Each of the Existing Facilities shall be repaid in full and terminated and all collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

  • Working Facilities During the Term of Employment, the Company shall furnish the Executive with an office, secretarial help and such other facilities and services suitable to his position and adequate for the performance of his duties hereunder.

  • Employee Facilities Adequate lunchroom, washroom and toilet facilities shall be provided and available for the use of the employees. Suitable dressing rooms and/or lockers shall be provided to employees in those occupations where a change of clothing is required by the Employer.

  • Shared Facilities Where the use of any of the Conduits or any boundary structures or other things is common to the Premises and other property, the Tenant must be responsible for, and indemnify the Landlord against, all sums due from the owner, tenant or occupier of the Premises in relation to those Conduits, boundary structures or other things and must undertake all work in relation to them that is his responsibility.

  • Parking Facilities Alamo Colleges District shall make the existing parking facilities at the rented Facility available for the vehicular traffic and parking necessitated by the Organization’s Use of the rented Facility, on a non-exclusive basis, as specified at Exhibit A. MAXIMUM CAPACITY. Organization anticipates approximately the number of participants stated at Exhibit A and agrees to inform Alamo Colleges District of any significant changes five (5) business days in advance of a Use. Organization shall not admit a larger number of persons than can safely and freely move about the Facility. Alamo Colleges District shall notify Organization of the recommended capacity of the Facility and all decisions of Alamo Colleges District concerning questions arising under this Paragraph shall be final.

  • School Facilities The Board agrees to maintain classrooms, other learning areas, and school facilities in a clean and working condition conducive to effective teaching and learning.

  • New Facilities For all new Generating Facilities to be interconnected pursuant to the Tariff, other than wind- powered and other non-synchronous generation facilities, the Generation Interconnection Customer shall design its Customer Facility to maintain a composite power delivery at continuous rated power output at a power factor of at least 0.95 leading to 0.90 lagging. For all new wind- powered and other non-synchronous generation facilities the Generation Interconnection Customer shall design its Customer Facility with the ability to maintain a composite power delivery at a power factor of at least 0.95 leading to 0.95 lagging across the full range of continuous rated power output. For all wind-powered and other non-synchronous generation facilities entering the New Service Queue on or after November 1, 2016, the power factor requirement shall be measured at the high-side of the facility substation transformers. This power factor range standard shall be dynamic and can be met using, for example, power electronics designed to supply this level of reactive capability (taking into account any limitations due to voltage level, real power output, etc.) or fixed and switched capacitors, or a combination of the two. For all wind-powered and other non-synchronous generation facilities entering the New Service Queue on or after May 1, 2015, and before November 1, 2016, the power factor requirement shall be measured at the generator’s terminals. For new generation resources of more than 20 MW, other than wind- powered and other non-synchronous Generating Facilities, the power factor requirement shall be measured at the generator’s terminals. For new generation resources of 20 MW or less, and all wind-powered and other non-synchronous generation facilities entering the New Service Queue prior to May 1, 2015, the power factor requirement shall be measured at the Point of Interconnection. Any different reactive power design criteria that Transmission Provider determines to be appropriate for a wind-powered or other non-synchronous generation facility shall be stated in the Interconnection Service Agreement. A Transmission Interconnection Customer interconnecting Merchant D.C. Transmission Facilities and/ or Controllable A.C. Merchant Transmission Facilities shall design its Customer Facility to maintain a power factor at the Point of Interconnection of at least 0.95 leading and 0.95 lagging, when the Customer Facility is operating at any level within its approved operating range.
