Common use of Partial Validity Clause in Contracts

Partial Validity. Should any of the clauses of this contract be declared invalid or ineffective, in whole or in part, by court order or otherwise, such invalidity or ineffectiveness shall not extend to the remaining clauses of this contract, which shall remain in full force and effect. The Parties agree to replace any clause that becomes invalid or ineffective by another valid and effective clause, trying to make the effect of the latter as similar as possible to that of the former.
