Partial Trigger Events. For purposes of the Appreciation Allocation Agreement, each time Company sells, conveys, or otherwise transfers less than the entirety of the Property to a third-party, unaffiliated entity, a “Partial Trigger Event” shall be deemed to have occurred.

  • Default Events (a) Any material breach of the Funding Agreement by the Recipient, including those set out below, will be an event of default (“Default Event”):
