Requested Modifications. After the Development Program Thermage may request or Stellartech may suggest changes in the design or operation of the Products relating to improvements, or the reliability or serviceability thereof. The parties shall promptly discuss such modifications in good faith and Stellartech shall make any modifications requested or approved by Thermage, provided Thermage agrees to pay the reasonable costs of implementing such changes (including possible scrapping or reworking of existing units) which may alter the purchase prices hereunder as agreed by the parties.

If, in connection with obtaining, continuing or renewing financing for the Building or any interest therein represents collateral in whole or in part, a lender shall request reasonable modifications of this Lease as a condition of such financing, Tenant will not unreasonably withhold, delay or defer its consent thereto, provided that such modifications do not increase the monetary obligations of Tenant hereunder or adversely affect to a material degree the Tenant’s leasehold interest hereby created.

If the changes require engineering design work on the Specifications, ArthroCare will prepare and submit to BSC for its approval a budget for the direct cost of making such work on a time and materials basis. The time will include the fully burdened rate for each employee involved in such work plus [*****] of the fully burdened cost to account for overhead.

The parties shall promptly discuss such modifications in good faith and Stellartech shall make any modifications requested or approved by AtriCure, Inc., provided AtriCure, Inc. agrees to pay the reasonable costs of implementing such changes (including possible scrapping or reworking of existing Products and Parts) in accordance with standard “time and materials” rates as provided in Exhibit A. It is understood that such modifications may alter the Product prices hereunder as agreed to by the parties.
Requested Modifications. If a prospective mortgagee requires reasonable amendments, modifications, or supplements of or to the Agreement as a condition to making a loan to Developer, then YRC shall execute an agreement amending, modifying, or supplementing the Agreement as required by the prospective mortgagee; provided that the foregoing shall apply only so long as: (i) there will be no material adverse effect on YRC, or the rights of YRC under the Agreement; and (ii) the obligations of Developer under the Agreement will not be reduced in any material respect.

Sequel may request modifications to the leased Premises, at its sole cost and expense, for the purposes of enhancing safety, security and increasing the usefulness of the Leased Premises for its purposes, and approval for such modifications will not be unreasonably withheld, if said modifications otherwise comply with the requirements of this Agreement and with all laws, statutes, codes, ordinances, rules, and regulations (including without limitation those of Harmony, the State of Illinois, and Illinois State Board of Education).
