Common use of Partial nullity Clause in Contracts

Partial nullity. If individual provisions of this Framework Agreement and/or transmission agreements concluded thereon become contrary to applicable regulations, this does not affect the validity of the Framework Agreement itself and/or transmission agreement concluded thereon, provided the Framework Agreement and/or transmission agreements concluded thereon remain valid without such nullified provision, whereby the Energy Act or other applicable regulation shall directly apply in place of the nullified provision. If required, the Contracting Parties undertake to conclude an annex to the Framework Agreement and transmission agreements concluded on the basis thereof with which a missing, invalid or legally ineffective provision shall be replaced with a new provision that will best comply with the economic, technical and legal purpose of the missing, invalid or legally ineffective contractual provision.
