Partial nullity. If individual provisions hereof conflict with applicable regulations, this shall not affect the validity of the Agreement itself if the Agreement may remain valid without such nullified provision, and the Energy Act or another applicable regulation shall directly apply in its place. If necessary, the Parties shall conclude an Annex hereto with which they shall substitute the missing, invalid or legally ineffective contractual provision with a new provision best illustrating the economic, technical and legal purpose of the missing, invalid or legally ineffective contractual provision.
Partial nullity. The invalidity, nullity or voidability of any Article or section hereof shall not affect or impair the enforceability of the remaining Articles hereof. Furthermore, it is the intention of the parties to replace any invalid, ineffective or voidable term, section or Article for a valid and enforceable Article or section in terms that are as similar as possible to those of the invalid, ineffective or voidable Article or section. Accordingly, in the event that any section or Article of the Agreement is declared invalid or unenforceable by a competent court, judge, authority or arbitrator, the parties shall agree on their replacement for another valid Article, but with terms and effect that are as similar as possible to those of the original Article.
Partial nullity. Should one of the clauses of the present "Manufacturer's Warranty for PV Modules" or their applicability to a certain person or a certain circumstance be deemed invalid, void or unenforceable, all other clauses and the further applicability of the present "Manufacturer's warranty for PV‐modules" remain unaffected.
Partial nullity. If individual provisions of this Framework Agreement and/or transmission agreements concluded thereon become contrary to applicable regulations, this does not affect the validity of the Framework Agreement itself and/or transmission agreement concluded thereon, provided the Framework Agreement and/or transmission agreements concluded thereon remain valid without such nullified provision, whereby the Energy Act or other applicable regulation shall directly apply in place of the nullified provision. If required, the Contracting Parties undertake to conclude an annex to the Framework Agreement and transmission agreements concluded on the basis thereof with which a missing, invalid or legally ineffective provision shall be replaced with a new provision that will best comply with the economic, technical and legal purpose of the missing, invalid or legally ineffective contractual provision.
Partial nullity. Should any provision herein be declared null, the remaining ones shall prevail in their own terms. If the nullity involved an essential part hereof, the parties shall negotiate to find a reasonable good-faith solution always considering the spirit hereof and the purpose of the cancelled provision.
Partial nullity. This Agreement shall become partially null and be of no further force or effect with respect to any one (1) or more Stores (the "Affected Licensed Premises") at any time or times (without liability to any party except for any liabilities previously accrued and outstanding) upon the issuance of any order, rule or regulation of any regulatory agency or administrative body (including condemnation of a Store or Stores by right of eminent domain), or the decision or order of any court of competent jurisdiction that is controlling or binding on such party prohibiting the installation, maintenance and/or use of the Gaming Devices by MGI, VONS or any of their customers or otherwise affecting the installation, maintenance and/or use of the Gaming Devices so as to make continued use of the Affected Licensed Premises unreasonably unprofitable or undesirable to either party.
Partial nullity. In the event that one or more provisions of the e-banking agreement or of these Conditions are or become void, unlawful or unenforceable, the remaining provisions shall be unaffected. Such provisions as are no longer appli- cable shall be replaced by new provisions that achieve the original intended legal and economic purpose as precisely as possible.

This Agreement shall become partially null and be of no further force or effect with respect to any one (1) or more Stores at any time or times (without liability to any party except for any liabilities previously accrued and outstanding) upon the issuance of any order, rule or regulation of any regulatory agency or administrative body (including condemnation of a property by right of eminent domain), or the decision or order of any court of competent jurisdiction that is controlling or binding on such party prohibiting the installation, maintenance and/or use of the Gaming Devices at said Store or otherwise making the continued use of said Store unreasonably unprofitable or undesirable to either party.
Partial nullity. Article 12 The Parties state and agree that nullity of an individual provision of the Agreement hereof shall not mean the nullity of the Agreement in its entirety.
Partial nullity. 20.1. If any one of the terms or any part of any term from these Terms of Business or any part of the Contract is null and void, or is declared null and void, the remainder of the relevant term or terms of these Terms of Business will not be affected or the underlying Contract will remain in effect.
