Common use of Ownership of Work Product and Proprietary Information Clause in Contracts

Ownership of Work Product and Proprietary Information. The written plans and specifications prepared under this Agreement will become the property of Client only upon completion of the Services and payment in full of all monies due Xxxxxxxxx. Client may not reuse or make any modifications to the plans and specifications without Xxxxxxxxx’x prior written authorization. Client agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless Xxxxxxxxx, its agents, officers, directors, employees, contractors and consultants from any claim, liability or cost (including reasonable attorneys’ fees and defense costs) arising or allegedly arising out of any unauthorized reuse or modifications of Xxxxxxxxx’x work product by Client or any person that acquires or obtains the plans and specifications from or through Client without Xxxxxxxxx’x written authorization. Notwithstanding the foregoing, all computer programs, work product, inventions, patents, copyrights, software, and other like data developed during the course of the Project, are and will remain Xxxxxxxxx’x sole property.
