Common use of Ownership of the Owner Clause in Contracts

Ownership of the Owner. The Owner Member owns one hundred percent (100%) of the issued and outstanding membership interests of the Owner free and clear of any and all Liens. All such membership interests of the Owner are duly authorized, validly issued, fully paid and nonassessable and were not issued in violation of any preemptive or other rights of any Person to acquire securities of the Owner.
