Common use of Ownership of Properties; Liens Clause in Contracts

Ownership of Properties; Liens. Borrower and each other Loan Party owns, or leases or licenses, as applicable, all of its material properties and assets, tangible and intangible, of any nature whatsoever that it purports to own, or lease, as applicable (including Intellectual Property), free and clear of all Liens and charges and claims (including infringement claims with respect to Intellectual Property), except Permitted Liens and as set forth on Schedule 5.7.

Each Borrower and each other Loan Party owns, or leases or licenses, as applicable, owns legal and beneficial to all of its material properties and assets, real and personal, tangible and intangible, of any nature whatsoever that it purports to own, or lease, as applicable own (including Intellectual Property), free and clear of all Liens and charges and claims (including infringement claims with respect to Intellectual Property), except Permitted Liens and as set forth on Schedule 5.7Liens.
