Common use of Owner Trustee’s Fees and Expenses Clause in Contracts

Owner Trustee’s Fees and Expenses. The Owner Trustee shall receive as compensation for its services hereunder such fees as have been separately agreed upon before the date hereof, and the Owner Trustee shall be reimbursed by the Depositor or the Master Servicer for its reasonable expenses hereunder and under the Basic Documents, including the reasonable compensation, expenses and disbursements of such agents, representatives, experts and counsel as the Owner Trustee may reasonably employ in connection with the exercise and performance of its rights and its duties hereunder and under the Basic Documents. The amount of the Owner Trustee's Fee shall be paid by the Master Servicer pursuant to Section 3.07(a)(xiii) of the Servicing Agreement and Section 2.11 hereof, and all amounts owing to the Owner Trustee hereunder in excess of such amount shall be paid pursuant to a separate side agreement or as provided in Section 5.01 hereof.

The Owner Trustee shall receive as compensation for its services hereunder such fees as have been separately agreed upon before the date hereof, hereof in a separate side agreement (the "Fee Agreement") and the Owner Trustee shall be reimbursed by the Depositor or the Master Servicer Issuing Entity for its reasonable expenses hereunder and under the Basic Documents, including the reasonable compensation, expenses and disbursements of such agents, representatives, experts and counsel as the Owner Trustee may reasonably employ in connection with the exercise and performance of its rights and its duties hereunder and under the Basic Documents. The amount of the Owner Trustee's Fee shall be paid by the Master Servicer pursuant to Section 3.07(a)(xiii) of the Servicing Fee Agreement and Section 2.11 hereof, and all amounts owing to the Owner Trustee hereunder in excess of such amount shall be paid pursuant to a separate side agreement the Fee Agreement or as provided in Section 5.01 hereof.

The Owner Trustee shall receive as compensation for its services hereunder such fees as have been separately agreed upon before the date hereof, hereof in a separate side agreement (the "Fee Agreement") and the Owner Trustee shall be reimbursed by the Depositor or the Master Servicer Issuer for its reasonable expenses hereunder and under the Basic Documents, including the reasonable compensation, expenses and disbursements of such agents, representatives, experts and counsel as the Owner Trustee may reasonably employ in connection with the exercise and performance of its rights and its duties hereunder and under the Basic Documents. The amount of the Owner Trustee's Fee shall be paid by the Master Servicer pursuant to Section 3.07(a)(xiii) of the Servicing Fee Agreement and Section 2.11 hereof, and all amounts owing to the Owner Trustee hereunder in excess of such amount shall be paid pursuant to a separate side agreement the Fee Agreement or as provided in Section 5.01 hereof.
