Overbase Sample Clauses
The Overbase clause defines the threshold or base amount above which certain charges, rates, or obligations become applicable in a contract. In practice, this means that fees or penalties are only triggered when usage, costs, or quantities exceed a specified baseline, such as a minimum volume of goods or a set level of service usage. This clause ensures that parties are only subject to additional costs when their activity surpasses the agreed-upon base, thereby providing predictability and protecting against unexpected or excessive charges.
