Overage Charges. If Customer's actual usage of the IBM SaaS in any quarter (based on a calendar year beginning January 1) exceeds three (3) times the entitlement specified in a ▇▇▇ or Transaction Document, then Customer will be invoiced for the overage in accordance with the overage rates specified in the applicable ▇▇▇ or Transaction Document. If Customer is provisioned within a given quarter, overage will be prorated accordingly.
