Outside Service Sample Clauses

Outside Service. During the term of employment hereunder, Executive shall devote his best efforts to the business and affairs of the Company and its subsidiaries and shall not engage in any business activity that presents a conflict of interest with the business of the Company or otherwise interferes with his performance of his job duties, provided that the Executive shall be entitled to serve on civic, charitable, educational, religious, public interest or public service boards, and to manage the Executive’s personal and family investments, in each case, to the extent such activities do not materially interfere with the performance of the Executive’s duties and responsibilities hereunder. Executive shall not become a director of any for-profit entity without first receiving the prior written approval of the Board.

Outside Service. The Company will not be liable for Loss on account of a Claim against an Insured Person serving as a director, officer, manager, trustee, or employee of an entity other than an Insured Organization, even if such service is at the direction or request of the Insured Organization, or is part of such Insured Person’s regularly assigned duties.
