Common use of Outside Professionals Clause in Contracts

Outside Professionals. Manager will manage and supervise the outside accountants and attorneys of Partnership and coordinate the annual audit of Partnership’s books and records and the preparation of Partnership’s tax returns (but subject in any event to the ultimate authority of the Board or the audit committee thereof, as applicable). It is understood and agreed by Partnership that certain of the Services may be provided directly or indirectly by other Persons.

Outside Professionals. Manager will manage and supervise the outside accountants accountants, attorneys and attorneys financial consultants of Partnership Company and coordinate the annual audit of PartnershipCompany’s books and records and the preparation any capital raising efforts of Partnership’s tax returns (but subject in any event to the ultimate authority of the Board or the audit committee thereof, as applicable). It is understood and agreed by Partnership that certain of the Services may be provided directly or indirectly by other PersonsCompany.
