Common use of Other Sales Agency Agreements Clause in Contracts

Other Sales Agency Agreements. The Partnership is not a party to any other ongoing sales agency agreements or other similar arrangements with any agent or any other representative in respect of at the market offerings of the Units in accordance with Rule 415(a)(4) of the Securities Act. Any certificate signed by any officer of the General Partner and delivered to the Managers or counsel for the Managers in connection with this Agreement or any Terms Agreement shall be deemed a representation and warranty by the Partnership Parties, as to matters covered thereby, to the Managers.
