Other Royalty Term. Licensee’s obligation to pay a royalty under Section 8.7(a) for *** shall be in effect in each country of sale from First Commercial Sale in the country of such *** and shall expire, on a country-by-country and product-by-product basis, on the later of (i) *** following the First Commercial Sale of such Licensed Product in such country and (ii) ***, is referred to herein as the “Other Royalty Term.” For clarity, Licensee shall have no obligation to pay any royalties with respect to a Licensed Product in a country unless and until there is a First Commercial Sale of IMMU-132 Product in such country.
