OTHER EQUITY OFFERINGS. During the period beginning on the First Closing Date and expiring 180 calendar days following the effectiveness of the Registration Statement, the Company will not make any Equity Offerings, as defined in the Debentures, except for an offering of rights to subscribe for shares of the Company's Common Stock pursuant to any exemption from the registration requirements of the Securities Act of 1933, as amended, including without limitation the exemption provided by Regulations D and S promulgated thereunder.
