Other Documents Governing Project Execution. (a) The Parties agree the Project execution shall be governed by the provisions of this Contract and those established in the POMM and POME, referred to in Section 3.01(i)(a) and Section 3.01(ii)(a). If any provision of this Contract should present any inconsistency or contradiction with the POMM and POME, the relevant provision of this Contract shall prevail. Moreover, the Parties agree it shall be necessary to obtain the Bank’s written consent prior to making any change to the POMM and/or the POME. (b) The POMM and the POME shall include, at a minimum, the following elements: administrative, financial management policies, procedures and internal control requirements and the ESMP.
