Common use of Other Collaborations Clause in Contracts

Other Collaborations. MORPHOSYS and IMMUNOGEN hereby acknowledge that, unless otherwise provided herein, MORPHOSYS may grant exclusive rights to utilize the MORPHOSYS HuCAL Technologies with respect to the development and commercialization of products (i) within or outside the Field directed to any Target which is not an IMMUNOGEN Target, and (ii) for commercial applications outside the Field directed to any Target, to any other party at any time and that, unless otherwise provided herein, MORPHOSYS shall have the right, alone or in conjunction with a third party, to utilize the MORPHOSYS HuCAL Technologies with respect to any such Target for any such purpose, or to grant licenses to third parties with respect thereto. Nothing contained in this Agreement shall in any way restrict MORPHOSYS' right to perform research or collaborate with third parties and to grant to third parties the right to exploit the results of any such research or collaborations without restriction other than as expressly provided in Sections 2.1.4 and 2.4, or in Article 3.

MORPHOSYS and IMMUNOGEN GPC hereby acknowledge that, unless otherwise provided herein, MORPHOSYS may grant exclusive rights to utilize the MORPHOSYS HuCAL Technologies with respect to the development and commercialization of products (i) within or outside the Field directed to any Target which is not an IMMUNOGEN a GPC Target, and (ii) for commercial applications outside the Field directed to any Target, to any other party at any time and that, unless otherwise provided herein, MORPHOSYS shall have the right, alone or in conjunction with a third party, to utilize the MORPHOSYS HuCAL Technologies with respect to any such Target for any such purpose, or to grant licenses to third parties with respect thereto, subject to compliance with the provisions of Section 2.4. Nothing contained in this Agreement shall in any way restrict MORPHOSYS' ’ right to perform research or collaborate with third parties and to grant to third parties the right to exploit the results of any such research or collaborations without restriction other than as expressly provided in Sections 2.1.4 and 2.4, or in Article 3.
